Terms of Service
Effective Date: November 17, 2025
1. Acceptance of Terms
By accessing or using Freight Load Board ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.
These Terms constitute a legally binding agreement between you and Freight Load Board. We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
2. User Accounts and Registration
Account Creation:
- You must provide accurate, current, and complete information during registration
- You must be at least 18 years old to create an account
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
Account Types:
- Shipper Accounts: For businesses posting freight loads
- Carrier Accounts: For motor carriers with valid DOT numbers seeking loads
Verification: Carrier accounts require a valid USDOT number that will be verified against FMCSA records. We reserve the right to suspend or terminate accounts that fail verification.
3. Shipper Obligations
As a shipper, you agree to:
- Provide accurate and complete load information including weight, dimensions, pickup/delivery locations, and dates
- Ensure all freight is properly packaged and complies with applicable transportation regulations
- Provide proper bills of lading and necessary documentation
- Pay carriers according to agreed-upon terms and rates
- Not post fraudulent or fictitious loads
- Comply with all applicable federal, state, and local transportation regulations
- Not use the Platform to engage brokers or third-party intermediaries without disclosure
4. Carrier Obligations
As a carrier, you agree to:
- Maintain an active and valid USDOT number and operating authority
- Maintain required insurance coverage (general liability, cargo, auto liability)
- Provide proof of insurance upon shipper request
- Comply with all FMCSA regulations and safety standards
- Transport freight safely and deliver on time as agreed
- Communicate promptly regarding pickup, delivery, and any delays
- Not subcontract loads without explicit shipper approval
- Maintain proper equipment and licensing
5. Prohibited Uses
You may not use the Platform to:
- Post false, misleading, or fraudulent information
- Operate as an undisclosed broker or freight forwarder
- Engage in price fixing or anti-competitive behavior
- Harass, threaten, or defame other users
- Scrape, copy, or harvest data from the Platform using automated means
- Interfere with the Platform's operation or security
- Violate any applicable laws or regulations
- Use the Platform for any illegal purpose
- Create multiple accounts to circumvent restrictions
- Share account credentials with third parties
6. Platform Role and Limitation of Liability
Marketplace Only:
Freight Load Board is a marketplace platform that facilitates connections between shippers and carriers. We are NOT a motor carrier, broker, or freight forwarder. We do not:
- Transport freight or arrange transportation
- Act as a party to any transaction between shippers and carriers
- Guarantee the performance of any shipper or carrier
- Assume liability for freight loss, damage, or delay
- Verify creditworthiness or financial stability of users
Disclaimer of Warranties:
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREIGHT LOAD BOARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Platform
- Any conduct or content of any third party on the Platform
- Freight loss, damage, delay, or non-delivery
- Payment disputes between shippers and carriers
- Unauthorized access to or alteration of your transmissions or data
7. Indemnification
You agree to indemnify, defend, and hold harmless Freight Load Board, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Transportation services you provide or receive through the Platform
8. Dispute Resolution
User Disputes:
Disputes between shippers and carriers (including payment disputes, freight claims, or service issues) are the sole responsibility of the parties involved. Freight Load Board is not obligated to mediate or resolve such disputes.
Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.
Arbitration:
Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.
9. Account Termination
Termination by You:
You may terminate your account at any time by contacting us or using account settings.
Termination by Us:
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Fraudulent activity or misrepresentation
- FMCSA verification failure or loss of operating authority
- Violation of applicable laws or regulations
- Conduct that damages our reputation or other users
- Non-payment or payment disputes
10. FMCSA Data Disclaimer
Safety and operating authority information is obtained from publicly available FMCSA records. While we strive to provide accurate information, we do not guarantee the completeness, accuracy, or timeliness of FMCSA data. Users should verify carrier information independently before entering into transportation agreements.
11. Intellectual Property
The Platform and its original content, features, and functionality are owned by Freight Load Board and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
